HK Robotics Launches HK$220 Million Rights Issue, Fully Underwritten by RaffAello

Hong Kong Robotics Group Holding Limited (HK Robotics) will raise approximately HK$220.30 million before expenses through a fully underwritten rights issue.

Financial Impact Completion will enlarge issued share capital by 50.0% to 3.15 billion shares. The theoretical dilution to the benchmarked price is 7.41%, within Listing Rule limits. Net assets per share would rise from HK$0.124 to HK$0.147 on a pro-forma basis.

Use of Net Proceeds • 66.3% (HK$134.70 million): procurement and development of mobile charging, health check-up and inspection robots, plus data-analytics facilities. • 4.9% (HK$10.00 million): construction of the robotics elderly-care demonstration park in Chongming Island. • 11.6% (HK$23.60 million): working capital, including capital contributions to PRC robotics units and two months of operating expenses. • 17.2% (HK$35.00 million): partial settlement of overdue and short-term debt.

Conditions and Termination The rights issue is subject to stock exchange approval for listing of the rights shares and the Underwriting Agreement remaining in force. The underwriter may terminate before 4:00 p.m., 30 September 2026 upon force-majeure events or material adverse changes.

Shareholder Implications Shareholders who do not take up entitlements will see their holdings diluted from 100% to 66.7%. Fractional entitlements will be aggregated and disposed of for the company’s benefit. An odd-lot matching service will run from 8 to 16 October 2026.

Regulatory Filings The prospectus and related documents have been registered with the Hong Kong Companies Registry under section 342C of the Companies (WUMP) Ordinance.
