RA Silk Road: INED Zhang Zhen Resigns, Triggering Board Committee Vacancies and HKEX Non-Compliance

Renaissance Asia Silk Road Group Limited (RA Silk Road) reported that Independent Non-Executive Director (INED) Mr. Zhang Zhen will step down effective 31 August 2026 to focus on other business commitments. His departure simultaneously removes him as Chairman of the Remuneration Committee and as a member of both the Audit Committee and the Nomination Committee.

Mr. Zhang confirmed no disagreement with the board and indicated no matters requiring shareholder or exchange attention.

Consequent to the resignation, the number of INEDs falls to two, below the minimum of three mandated by Hong Kong Listing Rule 3.10(1). In addition, the Audit Committee now comprises two members, breaching the three-member minimum stipulated by Listing Rule 3.21.

The board is actively seeking a qualified candidate to restore compliance and fill the roles of INED, Remuneration Committee Chair, and member of the Audit and Nomination Committees. Further announcements will be issued once appointments are finalized.

As of 31 August 2026, RA Silk Road’s board consists of: • Executive Director – Ms. Wang Yajuan • Non-Executive Directors – Mr. Xu Huiqiang, Dr. Feng Xiaogang • Independent Non-Executive Directors – Mr. Yang Jingang, Mr. Tan Kia Jing

The board expressed its gratitude for Mr. Zhang’s contributions during his tenure.
