环球新材国际(06616)近日在公告中披露，拟在股东周年大会上审议并授予董事股份购回授权，最高购回规模可达公司已发行股份（不包括库存股份）总数的10%。截至公告披露日，公司已发行股份总数为1,248,441,781股，若相关动议通过，购回上限将为124,844,178股。
公司表示，此项购回计划的资金来源仅可使用根据公司组织章程、开曼群岛法律及香港联合交易所有限公司证券上市规则等适用法规合法可动用的资金进行。公告指出，回购股份可能在一定程度上提升每股股份的资产净值及每股收益，董事会认为推进股份购回事项符合公司及全体股东的最佳利益。
公告同时披露，股东周年大会将于2026年6月26日上午10时30分在中国广西柳州市鹿寨县召开，将就本次购回授权等事宜进行审议。此外，公司计划于2026年6月23日至6月26日期间暂停办理股份过户登记。公司提醒股东，拟出席大会并进行投票的股东需在6月22日下午4时30分前办理股份过户登记。
