美团-W（03690）于2026年3月5日发布翌日披露报表，公告多项已发行股本变动，包括股份购回、员工及董事股份奖励计划下的新股发行，以及A类普通股向B类普通股的转换。
经公告披露，2026年3月2日及3月3日，公司因首次公开发售前雇员股份激励计划，分别发行6,667股及7,058股B类普通股，发行价分别为每股18.0243港元及18.1172港元。2026年3月5日，公司又按照首次公开发售后股份奖励计划，向董事及其他承授人合计发行25,096股及65,357,779股B类普通股，发行价均为每股0港元。
购回方面，公告显示公司早前于2025年5月27日回购3,018,700股B类普通股，并于2026年3月5日正式注销，每股购回价为129.7883港元。同日，公司将286,185股A类普通股转换为B类普通股。
本次变动后，美团-W的B类普通股数量增至5,595,230,334股；A类普通股则降至579,152,986股。公司确认上述股份变动程序符合香港联合交易所有限公司证券上市规则等相关法律法规要求，公告由联席公司秘书徐思嘉签署。
