Hevol Services Group Co. Limited will convene its annual general meeting on 29 May 2026 in Beijing. Shareholders will vote on the following key items:
1. Capital Authorisations • Issue Mandate: Directors request a new general mandate to allot and issue up to 20% of the existing issued share capital, equivalent to a maximum of 112.00 million shares, based on the 560.00 million shares outstanding as of 21 April 2026. • Repurchase Mandate: Authority to repurchase up to 10% of issued shares, or 56.00 million shares, with an extension mechanism allowing repurchased shares to be added to the issuance limit if both mandates are approved.
2. Board Composition • Re-election of three retiring directors: Executive Director Hu Hongfang and Independent Non-executive Directors Fan Chi Chiu and Qian Hongji. • All three directors have confirmed independence (where applicable) and have nomination committee support for re-election.
3. Governance Update • Adoption of a fourth amended and restated Memorandum and Articles of Association to align with the latest Hong Kong regulatory requirements, notably provisions for virtual and hybrid meetings and electronic voting.
4. Other AGM Business • Receipt of the audited financial statements for the year ended 31 December 2024. • Re-appointment of BDO Limited as auditor and authorisation for the board to fix directors’ and auditor’s remuneration.
5. Key Dates • Register of members will be closed from 26 May 2026 to 29 May 2026 (both days inclusive). Share transfers for AGM eligibility must be lodged by 4:30 p.m. on 22 May 2026. • Proxy forms must be submitted no later than 48 hours before the meeting.
All resolutions will be decided by poll, in compliance with Hong Kong Listing Rules.
