LHN (01730) announced that on July 25, 2025, the Company's subsidiaries Coliwoo Holdings Pte. Ltd. (CHPL) and Globalpoint Far East Pte. Ltd. (GPFE, together with CHPL referred to as the "Vendors") have entered into a non-binding term sheet with an independent third-party purchaser. Under the terms, the Vendors will sell, and the purchaser will acquire, 100,000 ordinary shares in Coliwoo PP Pte. Ltd. (Coliwoo PP) representing 100% of the entire issued and paid-up share capital of Coliwoo PP. The consideration will be calculated based on an agreed property value of S$43.9 million plus the adjusted net asset value of Coliwoo PP as at the completion date (the "Proposed Disposal"). Additionally, the purchaser will procure and ensure that upon completion of the Proposed Disposal, Coliwoo PP (as landlord) will enter into a master lease agreement with CHPL and/or its subsidiaries (as tenant) (the "Master Tenant") for Coliwoo PP to lease back the property located at 404 Pasir Panjang Road, Singapore 118741 to the Master Tenant (the "Proposed Leaseback").

As of the date of this announcement, Coliwoo PP is a subsidiary directly owned 80% by CHPL, which in turn makes it an indirect 80%-owned subsidiary of the Company, while GPFE holds the remaining 20% interest in Coliwoo PP. Coliwoo PP has an issued and paid-up share capital of S$100,000 comprising 100,000 ordinary shares. Coliwoo PP is incorporated in Singapore and is principally engaged in space optimization. Coliwoo PP is the registered owner of the property, which is currently managed and operated by Coliwoo PP as Coliwoo Hotel Pasir Panjang (co-living space). Upon completion of the Proposed Disposal, Coliwoo PP will cease to be a subsidiary of the Group.
