Beisen to Hold 2026 AGM on 17 September; Shareholders to Vote on FY26 Results, Director Re-election, Auditor Renewal and Share Issuance Mandates

Beisen Holding Limited will convene its 2026 Annual General Meeting on 17 September 2026 at 2:00 p.m. at the company’s Beijing office (19/F, Huarui Mansion, Xiaoyunli South Street No. 9 Courtyard, Chaoyang District).

Key resolutions to be tabled:

1. FY26 Financial Statements • Shareholders will consider and adopt the audited consolidated financial statements for the fiscal year ended 31 March 2026 together with the reports of the Board and independent auditor.

2. Board Composition and Remuneration • Re-election of Ms. Liu Xianna as Executive Director and Mr. Du Kui as Independent Non-executive Director. • Authorisation for the Board to determine directors’ remuneration.

3. Auditor Re-appointment • Renewal of KPMG as external auditor for the fiscal year ending 31 March 2027, with fee determination delegated to the Board.

4. Capital Mandates • General issuance mandate: authority for the Board to allot, issue or otherwise deal with additional shares or convertible securities up to 20% of the company’s issued share capital (excluding treasury shares) as at the date of the AGM. • Share repurchase mandate: authority to buy back shares representing up to 10% of issued share capital (excluding treasury shares) during the mandate period. • Extension mandate: conditional expansion of the issuance limit by the number of shares repurchased, capped at an additional 10% of issued share capital.

Administrative details:

• Register of members will be closed from 14 September to 17 September 2026 (both days inclusive). Share transfers must be lodged by 4:30 p.m. on 11 September 2026 to qualify for AGM attendance and voting rights. • Shareholders may appoint proxies to attend and vote; completed proxy forms must be submitted at Computershare Hong Kong Investor Services Limited not less than 48 hours before the meeting.

As at the notice date (22 June 2026), Beisen’s Board comprises three executive directors—Mr. Wang Zhaohui (Chairman), Mr. Ji Weiguo and Ms. Liu Xianna—and three independent non-executive directors—Mr. Du Kui, Mr. Zhao Hongqiang and Mr. Ge Ke.
