中创智领(00564)发布公告，董事会通过以集中竞价交易方式回购A股股份的议案，并提请股东大会及类别股东大会审议。回购资金总额不低于3亿元且不超过4亿元，资金来源为公司自有或自筹资金。该计划回购股份的价格上限为每股人民币21.00元，预计回购约1428.57万股至1904.76万股A股，约占公司当前已发行总股本的0.80%至1.07%。
根据公告，公司拟将其中50%已回购股份用于注销并减少注册资本，另一半则用于后续实施股权激励计划或员工持股计划。董事会认为，此举有助于提升股东回报、优化公司资本结构，并符合公司及股东的整体最佳利益。公司列明，本次购回计划需经股东特别决议审议通过；若获批准，购回期限自2026年第三次临时股东大会及H股类别股东大会决议通过之日起的12个月内有效。
董事会同时提示，为确定有权出席相关股东大会并投票的H股股东名册，公司将自2026年8月20日起至8月25日止暂停办理股份过户登记登记手续。公司呼吁股东密切关注后续议案审议结果。
