国银金租4月29日晚间公告，已与上海天合富家能源有限公司签署资产购买协议，拟以28.51亿元人民币收购位于广东省、江苏省及安徽省的户用光伏电站及其配套设备。标的资产账面净值同为28.51亿元，交易对价将以公司自有资金及/或商业银行贷款支付。
根据协议，交易完成后，国银金租计划将上述光伏电站资产以经营租赁模式出租给第三方承租人，从而扩大公司在户用光伏新能源领域的经营租赁业务版图。董事会表示，本次交易属于公司日常经营活动，符合业务发展战略，相关条款公平合理，符合公司及股东整体利益。
此前的十二个月内，国银金租曾以7.95亿元收购位于广东、湖北及江苏的户用光伏电站资产。由于此次交易的卖方与前次交易卖方由同一最终实益人控制，两笔交易须合并计算。在合并后，最高适用百分比率介于5%至25%之间，因此此次交易被界定为须予披露交易，需履行香港联交所上市规则第十四章的申报及公告义务，但可豁免通函及股东批准要求。
国银金租成立于1984年，主营飞机、船舶、能源及高端装备等领域的融资租赁服务；卖方上海天合富家能源有限公司主要从事光伏发电设备销售，其最终实益人为A股上市公司天合光能股份有限公司。
