One Media Group sets 13 Aug AGM to seek 20% share issue mandate, 10% buy-back limit, M&A overhaul and auditor re-appointment

One Media Group Limited will hold its annual general meeting (AGM) on 13 August 2026 at 10:00 a.m. in Hong Kong, asking shareholders to approve a series of core resolutions focused on capital flexibility, corporate governance updates and board changes.

Key resolutions and quantitative highlights • Capital mandates: – Share buy-back mandate of up to 10% of the 400.90 million issued shares (40.09 million shares) during the mandate period. – General mandate to issue new shares of up to 20% of issued share capital (maximum 80.18 million shares). – Extension of the issuance mandate by adding the number of shares actually repurchased under the buy-back mandate.

• Board changes: – Executive Director Tiong Kiew Chiong will retire and not stand for re-election. – Independent non-executive director Yu Hon To, David—who has served more than nine years—offers himself for re-election under a separate resolution as required by the Listing Rules.

• Corporate governance overhaul: – Comprehensive amendments to the existing Memorandum and Articles to allow virtual or hybrid shareholder meetings, align with Hong Kong’s paperless listing regime, and facilitate future uncertificated securities operations. – Adoption of a fully consolidated new Memorandum and Articles incorporating these changes, subject to shareholder approval via special resolution.

• Auditor re-appointment: – Proposed re-appointment of PricewaterhouseCoopers. The audit fee for the year ending 31 March 2027 is estimated at HK$0.47 – 0.50 million, compared with HK$0.47 million for FY 2026.

Logistics and voting Shareholders recorded on 13 August 2026 are entitled to attend and vote. Proxy forms must be lodged at the company’s Hong Kong head office at least 48 hours before the meeting. All resolutions will be decided by poll in compliance with Listing Rule 13.39(4).

The board unanimously recommends shareholders vote in favour of all proposed resolutions at the forthcoming AGM.
