SY Holdings Keeps Share Capital Steady in May; 1.07 Billion Shares Outstanding, Public Float Compliant

SY Holdings Group Limited reported no changes to its share structure for May 2026, according to the company’s monthly return filed with Hong Kong Exchanges and Clearing on 1 June 2026.

The authorised share capital stood unchanged at 5.00 billion ordinary shares with a par value of HKD 0.01, equivalent to HKD 50.00 million. Issued share capital (excluding treasury shares) remained at 1.07 billion shares, while treasury shares were stable at 0.52 million, leaving total issued shares at 1.07 billion.

Management confirmed compliance with the Main Board’s 25% minimum public-float requirement as of 31 May 2026.

Share-based incentives also showed limited movement. Under the 2017 share-option scheme, 2.40 million options were outstanding with no exercises recorded during the month, and no funds were raised from option exercises. A newer share scheme adopted in May 2024 allows for up to 98.98 million shares to be issued or transferred; none were utilised in May.

The company reported no warrants, convertible securities, or other share-issuance arrangements during the period, and there were no additional share repurchases or cancellations.

All statutory confirmations were provided by Company Secretary Wang Zheng, affirming that the issuer met listing rule requirements and that all necessary filings and conditions were satisfied.
