二零二六年二月二十四日（交易时段后），Apollo智慧出行集团有限公司(股份代号：860)的全资附属公司阿波罗宁波与宁波兴通达及杭州伏锐订立合资协议，计划在中国宁波市成立有限责任合资公司。合资公司注册资本为人民币1亿元，其中阿波罗宁波出资人民币5,000万元，宁波兴通达出资人民币4,500万元，杭州伏锐出资人民币500万元，各方分别占合资公司注册资本的50%、45%及5%。
合资公司将从事新能源汽车销售、汽车零部件研发制造及电动汽车充电器销售等业务，各方须在二零二六年六月三十日前以现金方式缴足各自出资额。阿波罗宁波将成为最大主要股东，拥有合资公司50%权益，并可提名五名董事中的三人（包括董事会主席），因此合资公司将被纳入Apollo智慧出行集团的财务报表。
根据公告，合资公司成立构成本公司一项须予披露交易，适用百分比率超过5%但低于25%，需遵守香港联合交易所有限公司证券上市规则第14章的申报及公告规定，但获豁免通函及股东批准要求。董事会认为，汽车及电动汽车市场发展前景良好，成立合资公司有助于拓展Apollo智慧出行集团的出行技术解决方案业务，符合该集团的战略与行业增长规划。
