China Cinda (01359, 04621) Announces 2025 Second EGM Poll Results

China Cinda Asset Management Co., Ltd. (01359, 04621) held its 2025 second extraordinary general meeting (EGM) on October 22, 2025, in Beijing. The total number of issued ordinary shares was 38,164,535,147, and 5 shareholders and proxies attended, collectively representing 29,641,597,170 voting shares or 77.667911% of the total.

All proposed resolutions were passed, including amendments to the Articles of Association, the abolishment of the Board of Supervisors, updates to the Rules of Procedures for Shareholders’ General Meetings and Board Meetings, and the elections of two directors. The votes for each resolution exceeded 97% in favor, with some resolutions achieving nearly unanimous support.

At the EGM, the appointments of Mr. Song Weigang as an executive director and Mr. Wang Zhongze as an independent non-executive director were approved. Both will serve three-year terms upon confirmation of their qualifications by the National Financial Regulatory Administration (NFRA). The amended Articles of Association also require NFRA approval and will take effect from the date of that approval; the revised Rules of Procedures for Shareholders’ General Meetings and Board Meetings will become effective concurrently.

According to the announcement, the convening and voting processes at the EGM complied with all applicable laws and regulations, and no shareholders were required to abstain from voting on the resolutions.
