荧德控股（股票代码：08535，香港联交所GEM上市公司）日前于股东周年大会通告中披露，拟授出一般授权以回购公司股份，规模最高可达公司已发行股本的10%。根据公告，公司于最后实际可行日期拥有已发行股本约12亿股，此次购回股份总数上限达1.2亿股。
公告显示，荧德控股可动用符合开曼群岛公司法及香港GEM上市规则等适用法律法规所允许之资金进行上述股份回购。公司董事会指出，买回股份将有助于提升每股收益，并在适当情况下优化资本结构，符合公司及股东的整体最佳利益。
公司还透露，此次回购股份的定价范围将取决于市场情况和公司财务规划等多方面因素。根据公告，公司股份在最后实际可行日期前12个月于联交所GEM的最高价格为每股0.28港元，最低价格为每股0.087港元。
董事会表示，将在适用法规和公司组织章程细则的许可范围内行使回购授权。股东周年大会定于2026年8月19日举行。为确定出席资格并进行投票，公司将自2026年8月14日起至8月19日止暂停办理股份过户登记。
