SinoMab BioScience Limited announced that all six ordinary resolutions tabled at the Annual General Meeting (AGM) on 12 June 2026 were approved with unanimous shareholder support, reinforcing governance stability and authorising fresh corporate mandates.
At the time of voting, the company had 1.39 billion shares outstanding, all of which were eligible to vote. No treasury shares were held, and no shareholders were required to abstain under Hong Kong listing regulations.
Key voting outcomes: • Each resolution received 288.47 million votes in favour and none against, representing 100.00% approval. • Resolutions covered receipt of the FY2025 audited accounts, re-election of four incumbent directors, approval of directors’ remuneration, and re-appointment of Ernst & Young as auditor. • Shareholders granted a 10% share-buyback mandate and a 20% general issuance mandate, with an additional mandate to extend the issuance limit by the amount of any shares repurchased.
Governance update: • Lei Xue was appointed as a Non-Executive Director for an initial three-year term, effective immediately after the AGM. Her remuneration will be determined by the board under the approved authority.
Computershare Hong Kong Investor Services Limited acted as poll scrutineer, and all directors attended the meeting in person or electronically.
