Yuan Heng Gas Sets 23 September 2026 for AGM; Seeks Fresh Share Issue and Buy-back Mandates

Yuan Heng Gas Holdings Limited has scheduled its 2026 annual general meeting (AGM) for 23 September 2026 at 3:00 p.m. in Hong Kong (Room 2203, 22/F., Congregation House, 119 Leighton Road, Causeway Bay).

Key resolutions to be tabled:

1. Financial Statements • Shareholders will vote on adopting the audited consolidated financial statements and the directors’ and auditor’s reports for the financial year ended 31 March 2026.

2. Board Composition and Remuneration • Re-election of Executive Director Mr Bao Jun. • Re-election of Independent Non-Executive Director Dr Wong Siu Hung Patrick. • Authorisation for the board to set directors’ remuneration.

3. Auditor Re-appointment • Proposal to re-appoint Prism Hong Kong Limited as external auditor and authorise the board to fix its remuneration.

4. General Mandate to Issue Shares • Directors seek authority to allot, issue or grant shares or convertible securities up to: – 20% of the company’s issued share capital as at the date of the AGM; and – an additional amount equal to any shares bought back under the repurchase mandate (capped at 10% of issued shares). • The mandate will remain effective until the earlier of the next AGM, lapse of the statutory period for holding the next AGM, or its revocation by shareholders.

5. Share Buy-back Mandate • Authorisation for the company to repurchase up to 10% of its issued shares on the Hong Kong stock market or other recognised exchanges during the same mandate period.

6. Extension of Issue Mandate • Conditional on the above mandates passing, the share issue mandate will be extended by the number of shares subsequently repurchased, up to an additional 10% of issued capital.

Administrative Details • The register of members will be closed from 18 September to 23 September 2026 (both dates inclusive). Share transfers for voting eligibility must be lodged by 4:30 p.m. on 17 September 2026. • All AGM resolutions will be decided by poll in accordance with listing rules. • Contingency arrangements are outlined for adverse weather; any postponement will be announced on the HKExnews and company websites.

Governance Snapshot • Executive Directors: Mr Wang Jianqing (Chairman & CEO), Mr Bao Jun. • Independent Non-Executive Directors: Dr Leung Hoi Ming, Dr Wong Siu Hung Patrick, Ms Lin Ying.
