For the month ended 31 May 2026, Shimao Group Holdings Limited reported no changes to either its authorised or issued share capital, according to the company’s latest monthly return filed with Hong Kong Exchanges and Clearing Limited on 1 June 2026.
The group’s authorised share capital remained at 25.00 billion ordinary shares with a par value of HKD 0.10 each, equivalent to HKD 2.50 billion.
Issued share capital was unchanged at 9.74 billion ordinary shares, and the company continued to hold no treasury shares. As a result, the total number of issued shares also stood at 9.74 billion. Shimao confirmed it met the Main Board’s minimum public-float requirement of 25%.
Convertible securities represent the only potential source of near-term dilution. The company has USD 437.78 million Zero-Coupon Mandatory Convertible Bonds (MCB) due 2026, issued on 21 July 2025. No conversions occurred during May, leaving the full amount outstanding. At a conversion price of USD 6.00 per share (HKD 6.00 based on an agreed US$/HK$ rate of 7.82), the MCBs could be exchanged for up to 570.58 million new shares.
If fully converted, the additional shares would expand Shimao’s current issued share base by approximately 5.9%, increasing it from 9.74 billion to about 10.31 billion shares.
No share options, warrants, or other share-issuance agreements were outstanding or exercised during the month, and there were no share repurchases or cancellations reported.
