JOLIMARK Holdings Sees HK$474 Million Share Transfer, Representing 17.75% of Total Shares

Hong Kong Exchange filings show that on September 10, JOLIMARK Holdings (02028) recorded a significant position change, with the total market value of transferred shares reaching HK$474 million, accounting for 17.75% of the company's issued share capital.

The company's shareholder transferred 137 million shares into Astrum Capital Management, while the same number of shares was moved out from Nanyang Commercial Bank.

On September 4, JOLIMARK Holdings announced that its controlling shareholder, Kongo Holdings, a company controlled by board chairman Ou Boxian, had entered into a placement agreement. The agreement covers the placement of no fewer than 120 million and up to 445.03 million company shares, representing approximately 51.85% of the existing issued share capital, which constitutes all shares held by the seller. The placement price is set at no less than HK$0.55 per share, with completion expected no later than September 25. Upon completion of the placement, the seller will no longer hold any shares and will cease to be the controlling shareholder of the company.

The substantial transfer of shares, amounting to nearly one-fifth of the company's total market capitalization, suggests a strategic repositioning by the current controlling shareholder.
