迪諾斯環保科技控股有限公司(01452)7月31日公告称，公司将于2026年8月21日10时30分在北京市丰台区南四环西路128号院2号楼12层1506-1室召开股东特别大会。
会议将审议两项主要议案：
1. 普通决议案 a) 批准、确认及追认公司与赵姝女士于2026年7月10日签订的股份认购协议及其项下拟进行的交易； b) 批准根据股份认购协议向认购人配发及发行认购股份的特别授权，并授权董事会落实相关发行； c) 授权董事会就上述事项签署文件及采取所需行动。
2. 特别决议案 待香港证监会企业融资部执行董事或其授权代表授予清洗豁免后，批准豁免因认购人认购股份而触发的全面要约责任，并授权董事会就相关事宜采取必要行动。
截至本公告日期，董事会由两名执行董事、 一名非执行董事及三名独立非执行董事组成。
