Fairwood Holdings: No Share Capital Changes in March; 100,000 Options Lapsed

Fairwood Holdings Limited reported that its authorised share capital remained unchanged at HKD 240.00 million for the month ended 31 March 2026. The number of authorised shares stayed at 240.00 million with a par value of HKD 1.00 each.

The company’s issued share capital also showed no movement during the month. Issued shares (excluding treasury shares) were steady at 129.55 million, and Fairwood continued to hold zero treasury shares. Management confirmed compliance with the Hong Kong Stock Exchange’s minimum 25% public-float requirement.

Under the 2021 share option scheme, two option tranches were outstanding: • HK$11.456 options (granted 5 July 2023): 100,000 options remained outstanding, unchanged during the month. • HK$5.470 options (granted 11 July 2025): 5.47 million options were outstanding at the start of March; 100,000 lapsed, leaving 5.37 million outstanding.

The lapse of these 100,000 options did not lead to any share issuance or treasury-share transfer, resulting in no funds raised for the month.

Fairwood reported no warrants, convertibles, other share-issuance arrangements, or movements in treasury shares during March 2026.
