大快活集团有限公司（股票代码：00052）于近日在港交所披露公告，拟在股东周年大会上寻求授权，最多回购不超过该公司已发行股本10%的股份。根据公告，公司当前已发行股份总数为129,552,780股，回购规模最高可达12,955,278股。
公告显示，此次回购计划的资金将来源于公司依据百慕达适用法规及公司章程细则所允许的合法可用资金，并将依照香港联合交易所有限公司《证券上市规则》及其他相关法律法规进行。大快活集团认为，股份购回有助于提升公司资产净值及每股盈利水平，符合公司及股东整体利益。
另据公告显示，过去十二个月内，大快活集团在联交所的股份最高成交价为5.77港元，最低成交价为3.76港元。公司董事会表示，一旦获得股东周年大会通过，企业将根据授权和市况择机进行回购操作。
公司股东周年大会拟定于2026年9月4日下午4时在香港北角丹拿道十八号爱群商业中心二楼会议室召开。为确定股东大会出席与表决权利，公司已宣布股份过户登记将于2026年9月1日至2026年9月4日暂停办理。拟议派发的末期股息过户登记亦将于2026年9月11日至2026年9月15日暂停进行。
