广合科技（01989）启动2026年A股股权激励　拟授不超1,340万份/万股占总股本2.83%

广合科技（01989）9月29日在港交所发布海外监管公告，披露第三届董事会第四次会议决议及2026年A股股票期权与限制性股票激励计划（草案）等文件要点。

本次激励计划拟向653名核心员工授予合计不超过1,340.00万份/万股的权益，占公司目前总股本47,272.69万股的2.83%。其中，股票期权1,002.73万份，占总股本2.12%；限制性股票337.27万股，占总股本0.71%。首次授予数量为1,072.60万份/万股，占拟授出总量的80.04%，预留部分为267.40万份/万股，占19.96%。

股票期权行权价格确定为188.60元/股；限制性股票授予价格为94.30元/股。激励计划有效期、行权（解除限售）期限均最长不超过60个月。公司业绩考核以2026—2028年营业收入为核心指标：2026年触发值85亿元、目标值100亿元；2027年触发值135亿元、目标值160亿元；2028年触发值200亿元、目标值230亿元。若未达触发值，当期对应权益将被注销或回购注销，不得递延。

同时，董事会审议通过2026年H股激励计划，激励股份总数不超过460万股H股，占公司已发行总股本的0.97%；该方案同样需提交股东大会审议。

董事会已提请召开2026年第三次临时股东大会审议上述激励计划及相关授权事项。公告显示，公司承诺不为激励对象提供贷款或任何形式的财务资助。
