Xinyi Glass Announces HK$0.215 Final Dividend, Scrip Option, and Renewal of Key Mandates Ahead of 29 May AGM

Xinyi Glass Holdings has released its 2025 AGM circular detailing a proposed final dividend, refreshed capital management mandates, board changes and auditor arrangements.

Dividend Proposal and Scrip Alternative • The board recommends a final dividend of HK$0.215 per share for FY-2025. • Shareholders may elect to receive the payout either fully in cash or partly/wholly in new shares under a scrip dividend scheme, subject to shareholder approval and Stock Exchange listing of the new shares. • The dividend will be paid to shareholders on record as of 8 June 2026, with share certificates and cash warrants targeted for dispatch on or about 29 July 2026.

Capital Management Mandates • Repurchase Mandate: Directors seek authority to buy back up to 10% of issued shares (ex-treasury), equal to a maximum 442.41 million shares based on the 4.42 billion shares outstanding on 23 April 2026. • Issue Mandate: Directors also request approval to allot, issue or transfer up to 20% of issued shares, equating to 884.82 million shares, and to extend this mandate by the amount of shares repurchased under the buy-back authority. • Both mandates, if approved, will remain effective until the next AGM, earlier revocation, or the date by which the 2027 AGM must be held.

Board Composition and Auditor • Directors standing for re-election: Dr. Lee Yin Yee, Mr. Lee Shing Kan, Mr. Ng Ngan Ho and independent non-executive director Mr. Wong Chat Chor Samuel (serving >9 years, independence affirmed). • Ernst & Young is nominated for re-appointment as external auditor for FY-2026, with an expected audit fee of HK$3.10 million.

Key AGM Logistics • AGM scheduled for 29 May 2026 at 11:00 a.m. in Hong Kong. • Share transfer deadline for voting eligibility: 22 May 2026. • Share transfer deadline for dividend entitlement: 3 June 2026. • Register of members closures: 26–29 May 2026 (AGM) and 4–8 June 2026 (dividend).

Shareholders are advised to review the full circular, consider the proposed resolutions, and submit proxy forms by 11:00 a.m. on 27 May 2026 if unable to attend in person.
