DAIDO GROUP (00544) Plans US Joint Venture to Acquire Two Data Centers

DAIDO GROUP (00544) announced that on December 30, 2025, the company entered into a non-legally binding letter of intent. Under this agreement, the company, through a direct or indirect wholly-owned subsidiary, is expected to establish a joint venture entity in Delaware, USA, with a third-party partner. The joint venture is projected to be 60% owned by the company's subsidiary, with the partner holding the remaining 40% stake.

The joint venture is expected to acquire two data centers located in the United States from two sellers. These assets are currently used to provide services for customers' Bitcoin mining operations. The total capacity of the target assets is 30 megawatts. The total consideration for the potential acquisition is estimated to be $11.4 million.

According to the announcement, the target assets require the operation of specialized warehouse facilities to house computing equipment, manage substantial electrical loads, and maintain sophisticated temperature control systems. These factors are also critical to the Group's existing cold storage warehouse business. Consequently, the Board believes the potential acquisition represents a strategic extension of the Group's core expertise in managing high-energy-consumption industrial infrastructure.

Through the potential acquisition, the Group plans to transform into a diversified, high-end storage infrastructure operator, providing precise, stable, and temperature-controlled environments for various assets. This "Infrastructure as a Service" model will transcend the limitations of the Group's current food and beverage business and is expected to generate stable recurring revenue through space leasing and power management fees.

Furthermore, the acquisition of US land and secured power capacity provides the Group with versatile industrial real estate assets. These assets could potentially be utilized for other high-demand computing fields, such as AI data centers, in the future, thereby enhancing the long-term resilience and value of the Group's business and assets.
