九源基因(02566)于2026年3月5日发布公告，指出上市公司公众持股量约为22.22%，低于香港联合交易所有限公司证券上市规则所要求的最低25%规定。据悉，主要原因在于根据2025年6月11日股东周年大会上授予董事会的购回授权回购H股后，一名原本属于公众持股范围的股东转变为上市规则定义的主要股东，导致公众持股量减少。
公告显示，公司现有已发行股份总数为241,516,400股，其中公共股东持有53,661,258股，占比22.22%。其他非公众股东及主要股东、董事控制的股东则合计持有187,855,142股，占比77.78%。公司正考虑包括通过发行新H股（包含转让库存股份）实施2026年股份奖励计划、全面落实2025年12月22日获批的H股全流通，以及直接向公众股东增发H股等措施，以使公众持股量恢复至25%最低规定。
公司预计自公告日期起六个月内恢复公众持股量，但仍需董事会和监管机构批准，并视乎市场情况而定。此间将持续监察公众持股量，并每月发布进一步公告更新相关情况，为公众持股量设立持续监控机制。公司同时提醒股东与潜在投资者在买卖该公司股份时需谨慎行事。
