Guangdong Kanghua Healthcare Group Co., Ltd. (Stock Code: 3689) has released details of three proposed lease agreements to replace existing arrangements set to expire on 31 December 2025. The three new agreements, collectively known as the 2026 Lease Agreements, cover the continued operations of Kanghua Hospital, Renkang Hospital, and Renkang Elderly Care Centre in Dongguan, Guangdong Province.
The 2026 Lease Agreements are scheduled to run from 1 January 2026 to 31 December 2028. Under these contracts, the Group will continue leasing the premises necessary for hospital services and elderly care. The estimated value of right-of-use assets to be recognized under the terms is approximately RMB257.3 million.
Because the Group’s counterparties are connected persons, the transactions constitute both major and connected transactions under relevant rules. The Company will hold an Extraordinary General Meeting on 3 March 2026 at 3:00 p.m. in Dongguan to seek independent shareholders’ approval for the proposed leases. If approved, the renewals are expected to enable uninterrupted operation of the hospitals and elderly care facilities. The Board considers that the terms of the 2026 Lease Agreements were negotiated referencing market conditions and are in the overall interests of the Company. Shareholders are requested to vote on the proposed agreements at the upcoming meeting.
