GD-HKGBA HLDGS (01396) announced the completion of the acquisition of all issued share capital of Wisdom Knight Holdings Limited. All conditions precedent for the acquisition have been satisfied, and the transaction was finalized on October 23, 2025, in accordance with the terms and conditions of the sale agreement. Under the agreement, the company issued 310 million consideration shares at an issue price of HKD 3.15 per share to the seller. Following the completion, the entities of the target group have become subsidiaries of the company, and the financial performance of the target group will be consolidated into the company’s financial statements.
