霸王国际（集团）控股有限公司（下称“霸王集团”，股份代号：01338）宣布，董事会已获授一项股份购回授权，额度最高可达该公司已发行股本总数（不包括库存股份）的10%。截至公告最后实际可行日期，霸王集团已发行股份数量约为3,162,440,720股，若该授权于股东周年大会上获正式批准，最多可购回约316,244,072股。该公司称，购回将遵循开曼群岛公司法及香港联合交易所有限公司证券上市规则的相关规定，所需资金将来自合法可动用的内部资源或适用法律许可的分派来源。
根据公告，董事会表示此举有助提升股东回报并优化资本结构，且确认购回不会对营运资金或资本负债状况构成重大不利影响。该授权一旦在2026年5月28日举行的股东周年大会上通过，自通过之日起生效，直至下届股东周年大会结束或被股东大会撤回为止。霸王集团同时公告，于2026年5月21日至5月28日暂停办理股份过户，以厘定有权出席并表决该事项的股东资格。
