Mininglamp Technology Announces Board Reshuffle: Executive Director Jie Zhao Resigns; Vice President Hao Xu Joins Board

Mininglamp Technology (Stock Code: 02718, MININGLAMP-W) has announced a forthcoming change to its board composition, effective 31 August 2026.

Jie Zhao, currently an Executive Director, will resign on 31 August 2026 citing personal work commitments. The departing director confirmed no disagreements with the Board and no matters requiring shareholder attention were reported. The Board expressed appreciation for her contributions during her tenure.

Concurrently, Hao Xu, aged 41, will be appointed as an Executive Director on the same date. Xu is presently the Group’s Vice President and Head of the Human Resources Services Department, positions he has held since August 2018 and March 2026 respectively. Since joining the company in 2007, he has held multiple leadership roles including R&D engineer, product manager and head of marketing automation technology. His current remit focuses on strategic human-capital planning, steering the organisation toward an “AI Native” model and driving digital transformation initiatives.

Xu holds a Bachelor’s Degree in Computer Science and Technology (Peking University, 2007) and a Master of Business Administration (Guanghua School of Management, Peking University, 2022). Under his three-year service contract—effective from 31 August 2026—Xu will not receive director’s fees; instead, he will continue to be remunerated for his existing management roles. Either party may terminate the contract with one month’s written notice. In line with the Articles of Association, he will stand for re-election at the first annual general meeting following his appointment and thereafter retire by rotation.

As at the announcement date, Xu holds derivatives relating to 340,677 Class A ordinary shares, constituting an interest under Part XV of Hong Kong’s Securities and Futures Ordinance.

Following these changes, Mininglamp Technology’s Board will comprise four executive directors (Minghui Wu, Ping Jiang, Hao Xu and Qi Yu), one non-executive director (Leiwen Yao) and three independent non-executive directors (Yunan Ren, Hing Yuen Ho and John Fei Zeng).
