The Board now comprises four executive directors and three independent non-executive directors (INEDs): • Executive directors: Mr. Shiu Kwok Leung (Chairman), Mr. Shao Chiliang (Chief Executive Officer), Mr. Zheng Yi, and Mr. Huang Aizhong. • INEDs: Mr. Lang Jilu, Mr. Cheng Hok Ming Albert, and Ms. Leung Tze Ying Gwen.

Committee leadership and memberships are structured as follows: • Audit Committee: Chaired by INED Ms. Leung Tze Ying Gwen; members include Mr. Shao Chiliang, Mr. Lang Jilu, and Mr. Cheng Hok Ming Albert. • Remuneration Committee: Chaired by INED Mr. Cheng Hok Ming Albert; Ms. Leung Tze Ying Gwen and Mr. Lang Jilu serve as members. • Nomination Committee: Chaired by Board Chairman Mr. Shiu Kwok Leung; members are Mr. Shao Chiliang and Mr. Lang Jilu.

The concentration of committee chairmanships in the hands of independent directors—two of the three committees—reinforces Zhongzi International’s compliance focus and aligns with Hong Kong’s corporate governance code, which advocates strong INED participation in oversight functions.
