Ausnutria Dairy plans HK$0.05 final dividend and seeks fresh share mandates at 28 May 2026 AGM

Ausnutria Dairy Corporation Ltd will convene its annual general meeting on 28 May 2026 in Changsha, Hunan, to vote on a series of resolutions covering dividend distribution, board composition, auditor re-appointment and capital management mandates.

Key items on the agenda include:

• Dividend proposal Shareholders will consider a final dividend of HK$0.05 per share for the financial year ended 31 December 2025, to be paid out of the share-premium account.

• Board elections and remuneration The meeting will vote on the re-election of executive directors Ren Zhijian and Bartle van der Meer, and independent non-executive director Ma Ji. The board also seeks authority to determine directors’ remuneration and emoluments.

• Auditor re-appointment PricewaterhouseCoopers is nominated for re-appointment as external auditor, with the board authorised to set its remuneration.

• Capital-raising authority Management is asking for a general mandate to allot, issue or dispose of shares up to 20% of the company’s issued share capital, excluding treasury shares, during the mandate period.

• Share-repurchase mandate A separate resolution seeks approval to repurchase shares up to 10% of issued share capital. If approved, any shares repurchased may be added to the issuance limit under the 20% mandate.

Share-register closure dates have been set for 22–28 May 2026 (inclusive) to determine eligibility to attend and vote at the AGM, and 4–8 June 2026 (inclusive) to establish entitlements to the proposed dividend. Share transfers must be lodged by 21 May 2026 and 3 June 2026, respectively, at the company’s Hong Kong branch registrar, Computershare Hong Kong Investor Services.

The board currently comprises three executive directors, three non-executive directors and three independent non-executive directors, with Han Shixiu serving as chairman.
