天鸽互动控股有限公司（“天鸽互动”，1980）宣布，鉴于新浪香港有限公司（“要约人”）于2026年1月21日及2026年2月4日发布的有关部分要约的公告，董事会已成立由全体独立非执行董事组成的独立董事委员会，为公司独立股东就该部分要约提供意见。
该委员会成员包括谢铭麟、王明春及林益文三位独立非执行董事。非执行董事曹菲同时担任Weibo Corporation首席财务官，因Weibo Corporation与要约人均受新浪公司控制，故其并未被纳入独立董事委员会。
此外，天鸽互动已委任红日资本有限公司作为独立财务顾问，以就部分要约条款的公平合理性及是否应予接受向独立董事委员会及独立股东提供意见。上述意见将包含于公司后续就本次要约发布的回应文件中。
