The valid votes represented approximately 23.22% of the 1.93 billion shares in issue.
Key approvals: 1. Adoption of the audited consolidated financial statements for the year ended 31 March 2026. 2. Re-election of Executive Director Mr Tsang Chi Kit. 3. Authorisation for the Board to fix directors’ remuneration. 4. Re-appointment of Forvis Mazars CPA Limited as independent auditor and authorisation of its remuneration. 5. Directorate change: Independent Non-Executive Director (INED) Mr Henrich Stefan retired at the conclusion of the AGM, citing personal and business commitments, and did not seek re-election. He also stepped down from the Audit, Remuneration and Nomination Committees. Mr Henrich confirmed no disagreement with the Board and no outstanding claims against the Company.
Regulatory implications: Mr Henrich’s departure leaves the Company with two INEDs, below the minimum three required by GEM Listing Rule 5.05(1). The Audit Committee membership has also fallen short of the three-member requirement under Rule 5.28 and its own terms of reference. Oriental Payment Group is actively searching for a suitable candidate and intends to restore compliance within three months from 29 September 2026.
Current Board composition: • Executive Director: Mr Tsang Chi Kit • Independent Non-Executive Directors: Mr Tong Tsz Kwan; Ms Tam Yuen Lam Angela
The Company has committed to update the market on its progress in filling the INED vacancy in accordance with GEM Listing Rules.
