China Metal Resources Utilization Limited (CMRU) issued a circular on 5 Jun 2026 announcing that a shareholder holding 21.58% of its issued share capital has triggered an Extraordinary General Meeting (EGM) to vote on the appointment of Mr. Yau Pak Yue as an independent non-executive director.

The requisition was submitted by XinKong International Securities Limited, beneficial owner of 96.72 million shares, via HKSCC Nominees Limited on 12 Mar 2026. In accordance with Article 58 of CMRU’s Articles of Association, shareholders with at least 10% voting rights may compel the Board to convene an EGM.

Career highlights include: • Partner at a Big Four accounting firm (2005-2012) • Chief Knowledge Officer, Guangzhou Chengfa Capital (2015-2017) • Current Director, Ewin Advisory Company Limited Mr. Yau currently serves as an independent non-executive director at three Hong Kong-listed companies: Domaine Power Holdings, Xinhua News Media Holdings and Huscoke Holdings.

Board Position The Board acknowledges the requisition and, after review, recommends shareholders vote in favour of Mr. Yau’s appointment and authorise the Board to set his remuneration.

Proxy Arrangements Shareholders unable to attend may submit proxy forms to Computershare Hong Kong Investor Services Limited no later than 48 hours before the EGM.
