GDS Holdings (9698) Announces Adjournment of Class B Ordinary Shares Meeting

GDS Holdings Limited (the “Company”), which operates under a weighted voting rights structure, has announced the adjournment of its general meeting of Class B ordinary shareholders. Originally convened on February 24, 2026, the meeting has been rescheduled to March 10, 2026 at the same venue in Shanghai, China. According to the announcement, the chairman determined the postponement to allow additional time for holders of ordinary and convertible preferred shares to reflect on the proposed amendments to the Company’s Articles of Association.

The proposal—unchanged from the previously disclosed documents—will be considered during the reconvened session. The record date of February 9, 2026 remains unchanged, so all shareholders who were eligible to vote in the original meeting retain their voting rights for the adjourned gathering. Existing proxy forms also remain valid and need not be resubmitted. The Company reiterates that, except for the new date of the meeting, all other information in the prior disclosure remains in effect.
