UBoT Holding has dispatched its AGM circular outlining five key resolutions for shareholder approval on 22 May 2026 in Hong Kong.
General mandates • Share Issue: Directors seek authority to allot and issue up to 102.50 million new shares—equivalent to 20% of the current 512.50 million shares in issue. The mandate may be extended by the number of shares repurchased under the buy-back mandate. • Share Buy-Back: A separate mandate would allow repurchase of up to 51.25 million shares, or 10% of issued capital. Repurchased shares may be cancelled or held as treasury stock in line with Cayman Islands law and GEM rules.
Board changes • Re-election of three retiring directors—executive director Tam Ming Wa, non-executive director Wong Tsz Lun and independent non-executive director Ma Jay Suk Lin—is proposed. • Moore CPA Limited is nominated for re-appointment as external auditor.
Dividend proposal • The board recommends a final dividend of HK$0.009 per share for FY 2025, subject to approval. Shareholders on record as of 29 May 2026 will be entitled to the payout.

Board recommendation The board states that the proposed mandates, director re-elections, auditor re-appointment and final dividend are in the best interests of the company and its shareholders, and urges investors to vote in favour of all resolutions.
