Hong Kong, 30 September 2026—Z.AI Co., Ltd. (Z.AI) has granted share awards covering 1.22 million H shares to employee participants under its 2026 Share Award Scheme.
The awards, issued at a purchase price of RMB0.10 per H share, compare with the shares’ closing price of HK$641.00 on the grant date. Vesting will occur in tranches over periods ranging from four to 63 months, contingent upon predefined corporate and individual performance targets.
A claw-back mechanism is in place: unvested or unsettled shares will lapse if a grantee breaches internal rules, commits misconduct, or ceases to qualify under the scheme before the respective vesting dates.
Following this transaction, 43.36 million H shares remain available for future grants within the scheme’s mandate limit of 44.58 million shares, with 4.46 million shares still earmarked for service-provider participants.
The board stated that the awards aim to attract, motivate and retain key talent, aligning employee interests with the long-term growth of the company.
