中国铸晨81金融有限公司（股份代号：810）于2026年2月23日发布澄清公告，内容与该公司于2026年1月27日发出的通函所载供股及清洗豁免事项相关。公告指出，此次澄清旨在对收购守则项下的额外资料进行进一步披露，并重申通函内其余资料维持不变。
中国铸晨81金融在公告中表示，截至最后实际可行日期，除已签署的不可撤销承诺及包销协议外，公司及其一致行动人士并未持有或控制该公司任何股份或可转换证券等。公告同时提及，Goodchamp作为包销商、也是公司主要股东，目前持有公司约17.34%的已发行股本。供股完成后，Goodchamp、林博士及其一致行动人士计划继续营运公司现有业务，且无意对本集团业务进行重大变动，包括重组本集团固定资产（金融资产除外）或削减、终止或出售任何现有业务。
公告进一步说明，Goodchamp已根据收购守则规则26的豁免事项附注1向执行人员申请清洗豁免，并获执行人员同意。该豁免将视独立股东于股东特别大会上以投票方式（并且有至少75%及超过50%比例通过）分别批准清洗豁免及供股（包括包销协议）后方可作实。
据公告披露，除以上信息外，此次澄清公告并未改变通函中的其他资料。
