Venus Medtech Maintains Stable Share Base in June 2026; Confirms Public-Float Compliance

Venus Medtech (Hangzhou) Inc. released its Monthly Return for the period ended 30 June 2026, confirming that no changes occurred in its share capital structure during the month.

The company reported authorised and issued H-share capital of 441.01 million shares, each with a par value of RMB1, unchanged from the previous month. Authorised and issued unlisted foreign shares stood at 1,208, also flat month-on-month. Total authorised/registered share capital was RMB441.01 million.

Issued share capital likewise remained steady at 441.01 million H shares and 1,208 unlisted foreign shares, with no treasury shares outstanding. Venus Medtech affirmed that its H-share public float comfortably met the Hong Kong Stock Exchange’s minimum 25% threshold as of 30 June 2026.

Under the company’s Share Option Scheme (approved 12 July 2023), no options were outstanding or exercised in June. However, the mandate still permits issuance of up to 44.10 million H shares should options be granted in the future. There were no warrants, convertible securities, or other share-linked arrangements in effect during the month.

The statement also reiterated that 3.11 million H shares repurchased in December 2021 remain held pending cancellation; there was no additional movement in either issued or treasury shares in June 2026.

Overall, Venus Medtech’s capital base and share count remained unchanged through the month, and the board confirmed full compliance with Hong Kong Listing Rules and other regulatory requirements.
