ATV Holdings: High Court Upholds 12 Aug 2025 EGM, Confirms Removal of Directors; Share Suspension Continues

Asia Television Holdings Limited (ATV Holdings) announced that the High Court of Hong Kong has ruled in favour of the plaintiff in Originating Summons HCMP 1572/2025. The judgment, handed down on 31 October 2025, delivers four principal orders:

1. The extraordinary general meeting (EGM) held on 12 August 2025 is declared validly convened.

2. All resolutions approved at that EGM are confirmed as valid.

3. The defendant directors are confirmed to have been removed from the company’s board with effect from 12 August 2025.

4. Those former directors are legally restrained—either directly or indirectly—from representing themselves as directors or authorised agents of ATV Holdings or acting on behalf of the company or its board.

Trading in ATV Holdings’ shares has been suspended since 9:00 a.m. on 11 August 2025 and will remain halted until further notice. The board currently comprises Executive Directors Zha Mengling and Liu Minbin, and Independent Non-Executive Directors Dai Lei and Kuang Feng.
