ROBOSENSE (02498) Announces RMB59.88 Million Divestiture of Embodied Robotics Business

ROBOSENSE (02498) has announced that on September 10, 2026, its indirect wholly-owned subsidiary, Shenzhen RoboSense, has entered into an agreement to sell its embodied robotics whole-machine business and related assets to Shenzhen Xiyuan Robotics Co., Ltd. The total cash consideration for the proposed disposal is RMB59.878 million.

As a result of the transaction, the company is expected to record a net gain of approximately RMB37.9 million. The divested business and assets encompass (i) the group's interests in the research and development, manufacturing, and sales operations of embodied robotics complete machines, and (ii) the related assets tied to these operations, including intellectual property such as patents and copyrights, inventories, computers and servers, production equipment and tools, as well as consumable raw materials used in related design and development activities.

Following the completion of the proposed divestiture, the group will focus on advancing its long-term strategic initiatives, expanding beyond its lidar product line to develop significant and critical incremental components for embodied robotics manufacturers. The company also anticipates that, after the proposed disposal is finalized, the group will become one of the buyer's component suppliers.
