Small Fish Holdings Acquires Hong Kong Residential Property for HK$20 Million

SMART FISH (00139) announced on September 8, 2026, that its wholly-owned subsidiary, Zhongda Enterprise Consulting Limited, has agreed to acquire a property from Yijin Enterprise Limited for a total consideration of HK$20 million.

The consideration will be offset on an equal basis against part of the outstanding amount owed by the seller to the lender. Following the offset, the remaining outstanding amount owed by the borrower to the lender will be approximately HK$13.9 million. The lender is a wholly-owned subsidiary of the company incorporated in Hong Kong and is a licensed money lender corporation under the Money Lenders Ordinance.

The property is a Hong Kong residential property located at 1 Austin Road West, Kowloon, known as The Harbourside. According to a valuation of the property based on the market approach, the market value of the property is approximately HK$20.5 million.

Given the potential for long-term appreciation of the property in the future and the absence of cash outflow for the group in relation to the acquisition, the directors believe that the acquisition is beneficial to the group.
