Bosideng adds 0.96 million new shares in March on option exercises; issued share base reaches 11.68 billion

For the month ended 31 March 2026, Bosideng International Holdings Limited reported the following share capital movements:

• Authorised share capital remained unchanged at 20.00 billion ordinary shares with a par value of USD 0.00001, equivalent to USD 200,000.

• Issued share count (excluding treasury shares) increased by 0.96 million to 11.68 billion, driven solely by the exercise of employee share options. No treasury shares were held during the period.

• Three batches of options under the 2017 and 2024 schemes were exercised: – 130,000 shares at an exercise price of HKD 1.07 – 589,000 shares at an exercise price of HKD 3.24 – 240,000 shares at an exercise price of HKD 3.65 Aggregate proceeds raised amounted to HKD 2.92 million.

• At month-end, 320.40 million options remained outstanding: – 2017 Scheme: 16.52 million options (HKD 1.07) – 2017 Scheme: 229.48 million options (HKD 3.24) – 2024 Scheme: 74.39 million options (HKD 3.65) Of these, 66.32 million options have already vested.

• The company recorded 2.25 million shares repurchased for cancellation at an average cost of HKD 3.9878 per share; cancellation had not yet been completed by month-end and therefore did not affect the issued share total.

• Bosideng confirmed compliance with the Main Board’s minimum public-float requirement of 25 percent for its ordinary shares.

The return was signed by Company Secretary Liang Shuang and filed with Hong Kong Exchanges and Clearing Limited on 2 April 2026.
