DASHAN EDU (09986) announced that regarding the matters contained in the Securities and Futures Commission's (SFC) news release dated December 3, 2025, including but not limited to (1) significant discrepancies between the bank statements provided by the Company to the SFC and those obtained independently by the SFC; and (2) the alleged serious overstatement of bank balances in the Company's financial statements for the periods ended June 30, 2023, and December 31, 2023 (the Irregularities), the Special Investigation Committee believes it is premature at this preliminary stage, and prior to commencing any investigation, to form or express any opinion or conclusion on the aforementioned matters.
After evaluating the backgrounds, experience, and professional expertise of multiple candidates, the Special Investigation Committee has recommended to the Board the appointment of Grant Thornton Advisory Services Limited (Grant Thornton Advisory) as the independent forensic investigator to conduct an independent forensic investigation into the Irregularities and to report its findings to the Special Investigation Committee.
Grant Thornton Advisory possesses extensive experience serving as an independent forensic investigator for listed companies on the Stock Exchange across various industries and has substantial experience in conducting similar forensic investigations.
The Board has approved the engagement recommended by the Special Investigation Committee and has appointed Grant Thornton Advisory as the independent forensic investigator.
After evaluating the backgrounds, experience, and professional expertise of multiple candidates, the Special Investigation Committee has recommended to the Board the appointment of Kaijin Consulting Advisors Limited (Kaijin Consulting) as the internal control advisor to review the Company's internal controls and procedures, with a focus on the Irregularities, and to provide corresponding remedial recommendations to enhance the Group's internal control system, if necessary, and to report its review findings to the Special Investigation Committee.
Kaijin Consulting has rich experience in providing internal control review services for listed companies on the Stock Exchange.
The Board has approved the engagement recommended by the Special Investigation Committee and has appointed Kaijin Consulting as the internal control advisor.
