True Partner Capital Holding Limited announced that Professor the Honourable Ming Tak Ngai (Michael Ngai) will resign as Independent Non-Executive Director (INED) on 21 May 2026, citing other commitments. His departure also ends his roles on the Audit, Nomination and Remuneration Committees. The company confirmed that Professor Ngai has no disagreements with the Board and no matters require shareholder attention.
Effective the same day, Mr. Wong Tat Keung, aged 55, joins the Board as an INED. A Hong Kong-qualified Certified Public Accountant and Fellow of the Hong Kong Institute of Certified Public Accountants, Mr. Wong brings over three decades of audit and corporate governance experience, including directorships at NASDAQ-listed Alset Inc. (since 2020) and HWH International Inc. (since 2022), as well as prior INED roles on the Hong Kong and Singapore exchanges. He currently serves as Managing Director and equity holder of AA CPA Limited. Mr. Wong has entered into an initial three-year appointment with an annual director’s fee of HK$70,000.
With these changes, Mr. Wong will replace Professor Ngai as a member of all three key Board committees—Audit, Nomination and Remuneration—effective 21 May 2026. Following the transition, True Partner’s Board will comprise five executive directors and three independent non-executive directors, maintaining compliance with GEM Listing Rules.
