亚洲富思收购进展：联丰物产先决条件仍待国资委审核拟延长截止日期至2026年底

香港联丰物产有限公司（要约人）与亚洲富思集团控股有限公司（亚洲富思，08413）联合公告披露，有关联丰物产向亚洲富思合资格股东收购最多7.553亿股要约股份的附先决条件自愿现金部分要约，目前仍处推进阶段。

公告显示，部分要约的关键先决条件（b）涉及向湖北省人民政府国有资产监督管理委员会（国资委）提交的申请，截至公告日期，国资委仍在审核该申请。由于预计需额外时间满足该先决条件，要约人与亚洲富思正考虑将先决条件最后截止日期从原定的2026年6月11日延长至2026年12月31日。

关于综合文件寄发事宜，此前亚洲富思已获香港联交所执行人员同意，将寄发综合文件的最后期限延长至先决条件达成后7日内或2026年6月18日（以较早者为准）。鉴于可能延长先决条件截止日期，双方拟根据《收购守则》进一步向执行人员申请相应延长综合文件寄发期限，相关进展将另行公告。目前，要约人及亚洲富思正编制及敲定综合文件所需资料，并将按上市规则适时披露最新状况。
