Shimao Group expands share base by 5.8% after HKD 6 per-share bond conversion

Shimao Group Holdings Limited disclosed on 21 July 2026 that it has issued 570.58 million new ordinary shares following the conversion of its Zero Coupon Mandatory Convertible Bonds due 2026, originally issued on 21 July 2025 at a conversion price of HKD 6 per share.

The new shares lift Shimao Group’s outstanding share count to 10.39 billion from 9.82 billion, representing a 5.8% increase in issued capital. No treasury-share movements, repurchases, or redemptions accompanied the transaction.

The company confirmed that the conversion was duly authorised by the board and executed in full compliance with Hong Kong listing rules and applicable regulations.
