百德国际有限公司（02668.HK）近日发布公告，拟于6月26日举行股东周年大会，申请一般及无条件授权，以回购不超过批准当日已发行股本（不含库存股份）总数10%的股份，规模约5.63亿股。公司目前于香港联合交易所有限公司主板上市，已发行股本约56.3亿股。
公告显示，回购所需资金将依据百慕达法律规定，从公司合法可用于股份购回的资金中支出；公司将根据股票市场状况及内部资金安排，酌情决定具体回购时机与数量。根据股价记录，在过去十二个月，百德国际股份的最高月度收盘价为每股0.59港元（2026年1月），最低月度收盘价为每股0.056港元（2025年6月）。
公司董事会表示，该回购授权有助于增强公司基本面，提升股东回报与优化资本结构，符合公司及股东的整体利益。公告指出，股东大会召开前，百德国际将于6月22日至6月26日暂停办理股份过户，股东需在6月18日下午四时三十分前完成股份过户登记，方可出席并投票。董事会将把该股份购回授权议案提交股东表决。
