Delton Technology (Guangzhou) Inc. has announced its intention to apply to the Shenzhen Stock Exchange to issue A-share convertible bonds to unspecified investors in China, with a total fundraising amount not exceeding RMB 3.6 billion. The proposed issuance of these A-share convertible bonds is subject to approval by independent shareholders at an extraordinary general meeting, review and approval by the Shenzhen Stock Exchange, and final registration consent from the China Securities Regulatory Commission before it can proceed.
As of the announcement date, connected shareholders collectively hold 272 million A-shares of the company. These connected shareholders have the right of first refusal to subscribe to the A-share convertible bonds and also have the right to waive this priority subscription right. The maximum potential subscription amount for the connected shareholders is approximately RMB 2.295 billion worth of the A-share convertible bonds.
