根据公告，该目标公司通过批发药品及经营医疗器械业务获得收入，2023年6月12日成立至2023年12月31日的收入约为人民币48,795千元，2024年全年收入约为62,172千元。公告提及，该目标公司在2025年10月31日的资产净值约为人民币1.89百万元。由于经营业绩不及预期及囤货单一医疗产品的局限，HealthyWay Inc. 决定以转让股权的方式降低固定成本。交易完成后，目标公司将不再并入HealthyWay Inc. 的综合财务报表。
本次交易涉资人民币1,677,900元，转让价格参考了目标公司于2025年10月31日的独立估值3.29百万元。HealthyWay Inc. 预计可获得约人民币0.71百万元的收益。公告指出，该交易构成“须予披露交易”及“关联交易”，并已符合上市规则中通知及公告规定，得到独立非执行董事确认交易条款公平合理且以一般商业条款订立。完成日期预计在2025年12月31日或之前。公告强调，交易所得款项将用于发展HealthyWay Inc. 的企业服务及数字营销服务。
